Terms of Service

1. Services

Emporial Management LLC ("we," "us," or "the Company") provides marketing consulting, brand strategy, campaign planning, content planning, and business growth advisory services. All services are consulting and advisory in nature.

2. Client Responsibilities

The client is responsible for providing accurate, complete, and timely information about their business, goals, audience, and existing marketing assets. The quality of our recommendations depends on the quality of the information provided. The client is responsible for the implementation of any recommendations, unless implementation support is explicitly included in the written scope of work.

3. Payments

Payments are due according to the terms specified on each invoice or checkout. Unless otherwise stated, fees are payable in U.S. dollars. Ongoing monthly engagements are billed in advance for the upcoming service period.

4. No Guaranteed Outcomes

Marketing results depend on many factors outside our control, including market conditions, client implementation, budget, offer, audience, and competition. We do not guarantee specific revenue, sales, traffic, rankings, advertising performance, or business outcomes. Past examples or illustrations are not predictions of future results.

5. Intellectual Property

All pre-existing materials, frameworks, templates, and methodologies used by Emporial Management LLC remain our intellectual property. Deliverables produced specifically for the client (such as written strategy documents, audits, or recommendations) are licensed to the client for use within their business upon full payment. The client retains ownership of any materials and information they provide to us.

6. Confidentiality

Both parties agree to keep non-public information shared during the engagement confidential and to use it only for the purpose of performing the services.

7. Cancellation

One-time engagements may be cancelled before work begins, subject to the Refund Policy. Monthly consulting engagements may be cancelled before the start of the next billing cycle by emailing emporialmanagement@gmail.com.

8. Limitation of Liability

To the maximum extent permitted by law, Emporial Management LLC's total liability arising from the services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.

9. Independent Contractor

We act as an independent contractor. Nothing in these terms creates a partnership, joint venture, employment, or agency relationship.

10. Governing Law

These terms are governed by the laws of the United States and the applicable state in which Emporial Management LLC is organized, without regard to conflict-of-laws principles.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after an update constitutes acceptance of the revised terms.
